1. Acceptance of Terms

By downloading, accessing, or using VenueVibe App ("App," "Service"), you agree to comply with and be bound by these Terms of Service. VenueVibe App is operated by JayWorld App LLC, a New York limited liability company. These Terms constitute the entire agreement between you and JayWorld App LLC, together with our Privacy Policy, Community Guidelines, Acceptable Use Policy, Law Enforcement Policy, and Safety Policy. If you do not agree, do not use the Service.

2. Eligibility

You must:

• Be at least 18 years old.
• Provide accurate account information.
• Use the Service only for lawful purposes.
• Not be prohibited from using the Service under applicable laws.

3. Account Registration

To use the Service, users may be required to create an account and provide:

• Name
• Email Address
• Selfie / Profile Photo
• Optional Biography

Users are responsible for maintaining the confidentiality of their account credentials.

4. Location Services

VenueVibe App uses location services to identify venues and connect users who are physically present at the same location. Location data may be collected while the App is in use, including when running in the background. By using the Service, you consent to:

• Sharing your location with the App.
• Displaying your profile to users within the same venue.
• Receiving messages from users at the same venue.

You may disable location services at any time, but some features may become unavailable. For full details on how we collect and use location data, please refer to our Privacy Policy.

5. User Conduct

You agree not to:

• Harass, threaten, stalk, or intimidate others.
• Send unwanted sexual content.
• Impersonate another person.
• Upload false or misleading information.
• Use hate speech or discriminatory language.
• Share another person's private information.
• Use the Service for illegal activities, including sex trafficking or prostitution.
• Facilitate, promote, or engage in conduct prohibited under the Fight Online Sex Trafficking Act (FOSTA) or the Stop Enabling Sex Traffickers Act (SESTA).

Violation may result in immediate suspension or permanent removal from the Service. Additional, dedicated prohibitions on trafficking and abuse are set out in Section 6 below, and detailed rules on prohibited content and behavior are set out in our standalone Acceptable Use Policy.

6. Prohibition on Human Trafficking, Exploitation, and Abuse

VenueVibe App has zero tolerance for human trafficking, sexual exploitation, and abuse of any kind. In addition to the conduct prohibited in Section 5, you agree that you will not, and will not aid, abet, assist, encourage, or conspire with any other person to:

• Engage in or facilitate human trafficking or sex trafficking of any individual, including through recruitment, advertising, harboring, transportation, or solicitation.
• Engage in or facilitate sexual exploitation of any person, including any minor.
• Advertise, solicit, or arrange commercial sexual services or prostitution.
• Coerce, threaten, defraud, or use force against another user for the purpose of sexual or labor exploitation.
• Encourage, instruct, or provide material support to another person who is engaging in any of the conduct described above, whether on or off the Service.
• Knowingly benefit from, or knowingly facilitate the ability of others to benefit from, participation in a venture that engages in trafficking or sexual exploitation.

You further agree to report to us immediately, using the contact methods in our Safety & Reporting Policy, any suspected trafficking, exploitation, or abuse you become aware of on the Service. We will investigate all such reports and, where warranted, take enforcement action up to and including immediate account termination and reporting to law enforcement and the National Center for Missing & Exploited Children (NCMEC), consistent with our Law Enforcement Policy. If you believe you are a victim of trafficking or have information about trafficking activity, contact the National Human Trafficking Hotline at 1-888-373-7888.

This prohibition is enforced in accordance with, and does not limit, the Fight Online Sex Trafficking Act (FOSTA) and the Stop Enabling Sex Traffickers Act (SESTA), as further described in Section 23.

7. Messaging and Communication

Users may communicate through the App. You acknowledge that:

• Messages may be monitored by automated systems and/or human reviewers for safety and compliance purposes.
• We reserve the right to investigate reports of abuse.
• Message deletion features do not guarantee permanent removal from backup systems.

8. Photo Verification

Users may be required to submit a selfie for identity verification. We reserve the right to:

• Reject fraudulent accounts.
• Remove fake or misleading photos.
• Suspend accounts that violate verification requirements.

9. Blocking and Reporting

Users may:

• Block other users.
• Report inappropriate conduct.
• Report suspected fake accounts.

We reserve the right to investigate and take appropriate action on all reports.

10. Content Ownership and License

Users retain ownership of content they upload. By posting content, you grant VenueVibe App a worldwide, non-exclusive, royalty-free license to:

• Display content within the Service.
• Store content for operational purposes.
• Use content to provide and improve the Service.

This license does not permit VenueVibe App to use your content in marketing or advertising without your separate consent. This license terminates when your content is deleted from the Service, subject to our Data Retention & Deletion Policy.

11. Safety Disclaimer

VenueVibe App does not conduct criminal background checks on all users. Users are solely responsible for their interactions with other users and any meetings or communications that occur outside the App. Always exercise caution when interacting with strangers.

12. Intellectual Property

All app designs, software code, logos, graphics, trademarks, and features are owned by JayWorld App LLC or its licensors. Users may not:

• Copy the software.
• Reverse engineer the platform.
• Reproduce or distribute app content without permission.

13. Subscription Services

Certain features may require a paid subscription. Subscriptions:

• Automatically renew unless canceled at least 24 hours before the end of the current billing period.
• Are billed through Apple App Store or Google Play.
• Are subject to each platform's billing and refund policies.
• Do not entitle you to a refund for any unused portion of a subscription period upon cancellation, unless required by applicable law.
• Continue to provide access through the end of the paid period upon cancellation.

We reserve the right to change subscription pricing with reasonable advance notice.

14. Termination

We may suspend or terminate accounts that:

• Violate these Terms.
• Engage in abusive behavior.
• Attempt to compromise platform security.
• Create fraudulent accounts.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, JAYWORLD APP LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO GUARANTEES REGARDING AVAILABILITY OF THE SERVICE, ACCURACY OF USER INFORMATION, COMPATIBILITY BETWEEN USERS, OR SUCCESSFUL CONNECTIONS OR RELATIONSHIPS.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JAYWORLD APP LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, EMOTIONAL DISTRESS, USER DISPUTES, LOSS OF DATA, LOST PROFITS, OR BUSINESS INTERRUPTION. IN NO EVENT SHALL JAYWORLD APP LLC'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) $100 OR (B) THE TOTAL AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

17. Indemnification

You agree to defend, indemnify, and hold harmless JayWorld App LLC and its officers, members, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third party's rights.

18. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except that either party may bring claims in small claims court if the claims qualify.

CLASS ACTION WAIVER: YOU AND JAYWORLD APP LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

19. Force Majeure

JayWorld App LLC shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, labor disputes, power outages, or internet service disruptions.

20. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

21. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes through the App or by email. Continued use of the Service after the effective date of any updates constitutes your acceptance of the revised Terms.

22. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-law principles. To the extent any claim proceeds in court rather than arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Orange County, New York.

23. FOSTA-SESTA Compliance

JayWorld App LLC complies with the Fight Online Sex Trafficking Act (FOSTA) and the Stop Enabling Sex Traffickers Act (SESTA). VenueVibe App prohibits any use of the Service to facilitate sex trafficking, prostitution, or exploitation, and prohibits aiding, abetting, or encouraging such conduct, as set out in Section 6. Violations will result in immediate termination and may be reported to law enforcement. If you believe you are a victim of trafficking or have information about trafficking activity, please contact the National Human Trafficking Hotline at 1-888-373-7888.

24. California Privacy Rights (CCPA)

California residents have the right to request disclosure of the categories and specific pieces of personal information we collect, the right to request deletion of their personal information, and the right to opt out of the sale of their personal information. JayWorld App LLC does not sell personal information. To exercise your rights, please refer to our Privacy Policy or contact us at service@VenueVibeApp.com.
