SUBSCRIPTION, BILLING & CANCELLATION POLICY

1. OPERATOR IDENTITY
VenueVibe App is owned and operated by JayWorld App LLC, a limited liability company organized under the laws of the State of New York, with its principal place of business in Newburgh, New York (Orange County). JayWorld App LLC is a wholly owned subsidiary of JayWorld Enterprise LLC, a Wisconsin limited liability company.
All billing, subscription, and payment obligations described in this policy are those of JayWorld App LLC as the operating entity of VenueVibe App.

2. OVERVIEW
VenueVibe App offers five free connections per month, a 14-day free trial, no credit card required, optional purchases of additional connections, and an optional monthly subscription for unlimited connections. This policy governs purchases, renewals, billing, cancellations, refunds, and related matters.
By creating an account, purchasing connections, or purchasing a subscription, you agree to this policy, the Terms of Service, Privacy Policy, Safety & Reporting Policy, Community Guidelines, and other applicable VenueVibe App policies. Acceptance of this policy alone does not authorize a purchase or recurring charge; paid purchases and automatic renewal require your affirmative consent.

3. CONNECTIONS, PLANS & PRICING
Definition of a Connection: A connection is counted when you successfully send the first message to another member to initiate a new conversation. Reply messages and follow-up messages within that conversation do not count as additional connections. A connection does not guarantee that the recipient will respond, meet you, or continue the conversation.

• Free Plan: Five (5) free connections per month. No paid subscription is required to use this monthly allowance.
• Additional Connections: $5.00 USD for three (3) additional connections. Each package is a one-time purchase and does not automatically renew. No additional package is purchased or charged without your authorization.
• Unlimited Monthly Plan: $15.00 USD per month for unlimited connections during the active subscription period, subject to the Terms of Service, Community Guidelines, and restrictions against spam, harassment, and other prohibited activity.
• Free Trial: A 14-day free trial, no credit card required, for every new account, subject to Section 5.

Reply messages do not reduce your free or purchased connection balance. The $5.00 package pays for three conversation initiations, not three individual messages within an existing conversation.
The app will display your available connection balance and the monthly allowance reset date. Any rollover or expiration terms for free or purchased connections will be clearly disclosed before enrollment or purchase. The app will also disclose how connection balances are used when you have both free and purchased connections available.
All prices are in United States Dollars (USD). Monthly subscription fees are charged in advance at the beginning of each paid billing period. Connection packages are charged at purchase. Applicable taxes, if any, are disclosed at checkout.
This pricing schedule does not offer an annual subscription. Existing annual subscriptions, if any, remain subject to their previously agreed terms until they expire or are changed with the required notice and consent.
Promoter Offers: VenueVibe App may offer promotional rates through authorized promoters. Any promotional price, duration, eligibility requirement, and subsequent price will be disclosed before purchase and remain subject to this policy.

4. AUTOMATIC RENEWAL
The Unlimited Monthly Plan automatically renews every month at $15.00 USD, plus applicable taxes, unless you cancel before your next billing date. The Free Plan and one-time additional connection packages do not automatically generate paid subscription charges.
Before you enroll in recurring billing, VenueVibe App will clearly disclose the subscription price, billing frequency, trial terms when applicable, cancellation deadline, and cancellation method, and obtain your affirmative consent.
By expressly enrolling in the Unlimited Monthly Plan, you authorize JayWorld App LLC and its authorized payment provider to charge your selected payment method for each monthly renewal until you cancel, subject to applicable law.
After enrollment, VenueVibe App will provide a confirmation you can retain showing the agreed billing terms and cancellation instructions. Required billing, renewal, and change notices will be provided in accordance with applicable law. Your billing date and subscription status will be available through the applicable subscription-management channel.

5. 14-DAY FREE TRIAL
Every new account receives a 14-day free trial, no credit card required. The trial starts on the account creation date and provides unlimited connections for fourteen (14) days. No payment method is collected for the trial, and the trial does not convert into a paid subscription or start a Stripe trial period.
After the trial, unlimited connections continue only while a subscription status is active. A status of past_due, canceled, or unpaid is not an active subscription. Without an active subscription, new conversations use the five free monthly connections and any purchased connection credits.
Purchased connection credits do not expire. They remain on the account, unused, while the trial or an active subscription is in effect, and they are spent only when the trial has ended and no active subscription is in effect.
The $15.00 monthly plan is optional. It is charged only when you choose it at checkout and renews monthly until you cancel. Using the trial does not authorize that charge. After trial access ends, eligible accounts may continue using the Free Plan with five free connections per month.

6. PAYMENT PROCESSING
Payments are processed by an authorized third-party payment processor or, where applicable, the app marketplace through which you make the purchase. The provider and applicable payment terms will be identified at checkout. JayWorld App LLC does not store complete payment card information on its servers.
By providing payment information, you represent that you are authorized to use the payment method, that the information is accurate and complete, and that you will keep it current.
Payment processing may be subject to provider risk controls, processing limits, and financial institution requirements. VenueVibe App is not responsible for third-party processing errors or delays to the extent permitted by law. Nothing in this policy limits your rights concerning unauthorized charges or billing errors.

7. FAILED PAYMENTS
If a payment is declined, expired, or cannot be processed, VenueVibe App or its payment provider may retry the authorized charge over a reasonable period and notify you to update your payment information.
Access to the Unlimited Monthly Plan may be suspended during a payment failure and canceled if payment is not received. An unpaid connection package will not be credited to your account. Subject to account eligibility and applicable policies, you may continue using the Free Plan.
JayWorld App LLC is not responsible for loss of premium access resulting from a failed payment to the extent permitted by law. No payment failure authorizes an unrelated purchase or charge.

8. CANCELLATION
You may cancel your Unlimited Monthly Plan at any time through the applicable subscription-management option in your VenueVibe App account or by contacting support@venuevibeapp.com for assistance. VenueVibe App will provide a simple cancellation mechanism through the same medium used to enroll, as required by applicable law.
If you purchased a subscription through an app marketplace, manage and cancel it through that marketplace's subscription settings. Deleting the app alone does not cancel a subscription.
For paid subscriptions, cancellation stops future renewals. Unlimited access from an active subscription continues until the end of the current paid billing period. After that period, or if the status is past_due, canceled, or unpaid, eligible accounts return to the Free Plan and any unused purchased credits. The 14-day free trial, no credit card required, ends fourteen (14) days after account creation whether or not a subscription is purchased. Store purchases, if any, follow the marketplace terms shown at that purchase.
No prorated refund is provided for an unused portion of the paid billing period except as required by law, an applicable marketplace policy, or a refund expressly approved by VenueVibe App. Canceling a subscription does not itself constitute a new purchase, cancel a completed one-time connection package purchase, or create a charge for additional connections.
Termination for Cause: If your account is suspended or terminated for policy violations, access may end and unused subscription time or connection balances may be forfeited, subject to applicable law and any mandatory refund rights.

9. REFUND POLICY
Subscription and connection package purchases are non-refundable except where required by applicable law, an applicable marketplace policy, or a refund expressly approved by VenueVibe App.
Subject to these exceptions, refunds are not provided for unused subscription days, authorized renewals, partial billing periods, unused features, or connections used to initiate conversations that do not receive a response.
Billing errors and unauthorized charge claims will be reviewed. To request a review, contact support@venuevibeapp.com within thirty (30) days of the charge where possible. This request period does not shorten any legal or payment-provider dispute deadline or eliminate statutory rights.
For marketplace purchases, submit refund requests through the marketplace when required by its procedures.
Payment Disputes: Please contact support for help resolving a billing issue. You retain the right to dispute a charge with your financial institution or payment provider. VenueVibe App may contest a dispute using transaction records. Fraudulent transactions or abusive conduct may result in account restrictions consistent with applicable law; a good-faith billing dispute alone is not grounds for forfeiting legal rights.

10. PRICE CHANGES
VenueVibe App may change prices for future purchases. The price shown and accepted at checkout applies to a one-time connection package purchase.
For active recurring subscribers, VenueVibe App will provide thirty (30) days' advance notice of a price increase directly by email or another agreed notification channel, together with cancellation instructions and any additional notices required by law. An increased recurring price will not be charged without any affirmative consent required by law. If consent is not obtained, the subscription will not renew at the increased price.
Continued use alone does not substitute for affirmative consent where it is required. Changes do not retroactively increase the price of a completed purchase.

11. TAXES
Prices exclude applicable taxes unless expressly stated otherwise. Any applicable taxes will be disclosed at checkout. Where required, JayWorld App LLC or the applicable payment provider will collect and remit sales tax, VAT, or similar taxes on purchases.

12. PROMOTER COMMISSIONS
VenueVibe App operates an authorized promoter program in which independent promoters may earn commissions based on qualifying subscriber referrals.
Promoter commissions are calculated based on active, paying subscribers linked to a promoter ID whose subscriptions have been active for at least forty (40) days. Commissions are paid at $5.00 USD per qualifying subscriber, subject to the separate Promoter Agreement and any properly disclosed changes.
Use of the Free Plan or free trial, or a purchase of a connection package, does not by itself establish eligibility for a subscriber referral commission under this policy. Eligibility, timing, and payout obligations are governed by the separate Promoter Agreement.
Promoters are independent contractors, not employees or agents of JayWorld App LLC, and are subject to applicable tax reporting requirements. VenueVibe App is not responsible for promoter representations, promises, or agreements made outside the official Promoter Agreement.

13. DISCLAIMER OF WARRANTIES
To the extent permitted by law, VenueVibe App services are provided on an "as-is" and "as-available" basis without express or implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. VenueVibe App does not warrant uninterrupted or error-free features or guarantee responses, matches, relationships, or in-person meetings.
This disclaimer does not exclude warranties or consumer protections that cannot lawfully be excluded.

14. LIMITATION OF LIABILITY
To the fullest extent permitted by law, JayWorld App LLC, its parent JayWorld Enterprise LLC, and their respective members, managers, officers, employees, contractors, and agents shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from subscriptions, connection package purchases, billing, cancellation, or use of VenueVibe App.
To the extent permitted by law, JayWorld App LLC's total liability for a claim under this policy shall not exceed the total amount you paid for VenueVibe App subscriptions and connection packages in the twelve (12) months preceding the claim. Nothing in this section limits liability or remedies that cannot legally be limited.

15. INDEMNIFICATION
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless JayWorld App LLC, JayWorld Enterprise LLC, and their respective members, managers, officers, employees, contractors, agents, successors, and assigns against third-party claims, losses, liabilities, costs, and reasonable attorneys' fees arising from your unlawful use of paid features, unauthorized use of a payment method, violation of this policy or the Terms of Service, or fraudulent transactions initiated by you.
This provision does not require indemnification merely because you exercise a lawful cancellation, refund, or good-faith payment dispute right.

16. DISPUTE RESOLUTION AND ARBITRATION
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Binding Arbitration: Except for claims that may be brought in small claims court and other exceptions required by applicable law, disputes arising from this policy, purchases, billing, or use of VenueVibe App shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, subject to the arbitration terms in the Terms of Service.
Class Action Waiver: TO THE EXTENT PERMITTED BY LAW, YOU AND VENUEVIBE APP AGREE TO BRING CLAIMS ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS OR REPRESENTATIVE ACTION.
Arbitration Location: Arbitration shall take place in Orange County, New York, remotely by agreement, or at another location required by applicable law or the applicable AAA Consumer Arbitration Rules.
Opt-Out: You may opt out by sending written notice to JayWorld App LLC at support@venuevibeapp.com within thirty (30) days of first accepting the arbitration agreement. Include your name, account email, and a clear statement that you opt out of arbitration. An existing valid opt-out remains effective.

17. GOVERNING LAW AND JURISDICTION
This policy is governed by New York law, without regard to conflict-of-law provisions, subject to the Federal Arbitration Act where applicable and any mandatory consumer protections that apply to you.
For disputes not subject to arbitration, the parties consent to the state courts in Orange County, New York, and the federal courts serving Orange County, subject to any contrary mandatory legal requirements.

18. POLICY UPDATES
VenueVibe App may update this policy. Material changes will be communicated directly with the notice required by applicable law. Changes to automatic-renewal or continuous-service terms will be communicated at least five (5) business days and no more than thirty (30) days before the change where New York law requires that notice window. Price increases also follow Section 10.
Other material changes will receive at least seven (7) days' advance notice unless a longer period or different procedure is required by law. Non-material changes may take effect upon posting.
The effective date identifies this version of the policy; it does not eliminate notice requirements, retroactively alter agreed purchases, or authorize charges. Continued use may constitute acceptance only where permitted by law and does not replace any required affirmative consent to billing changes.

[ ] Unlimited Monthly Plan: If I enroll, I agree to $15.00 USD per month, plus disclosed taxes, billed in advance and renewed monthly until I cancel.
[ ] 14-Day Free Trial: I understand that every new account receives a 14-day free trial, no credit card required, starting on the account creation date. The trial does not charge a card and does not start a paid subscription by itself.
[ ] Payment Authorization: For the specific purchase or recurring plan selected at checkout, I authorize the disclosed charges. Agreeing to this policy alone does not enroll me in a paid plan.
[ ] Cancellation: I understand how to cancel through the applicable account or marketplace settings. Paid subscription access generally continues until the end of the paid period, and no prorated refund is provided except where required or expressly approved.
[ ] Refunds and Billing Disputes: I understand the refund terms and retain any rights provided by law or the applicable payment provider.
[ ] Price Changes: I understand that recurring price increases require advance notice and any consent required by applicable law.
[ ] Failed Payments: I understand that failed payments may suspend or end premium access, and unpaid connection purchases will not be credited.
[ ] Termination for Cause: I understand that policy violations may end access and affect unused benefits, subject to applicable law.
[ ] Disclaimer and Liability: I understand the warranty disclaimer and liability limitations, subject to rights that cannot legally be waived.
[ ] Arbitration and Class Action Waiver: Subject to the opt-out procedure and applicable legal exceptions, I agree to the dispute-resolution terms in Section 16.
[ ] Governing Law and Updates: I understand the governing-law and policy-update provisions, including applicable notice and consent requirements.

I AGREE TO THE VENUEVIBE APP SUBSCRIPTION, BILLING & CANCELLATION POLICY
I confirm that I have read, understood, and agreed to this policy. My name, email address, acceptance date, timestamp, and selected purchase or subscription consent may be recorded for compliance and legal purposes. Recurring billing consent must be obtained for the selected subscription offer before any recurring charge is authorized.
