VENUEVIBE APP Operated by JayWorld App LLC SUBSCRIPTION, BILLING & CANCELLATION POLICY Effective Date: June 24, 2026 Platform: VenueVibe App 1. OPERATOR IDENTITY VenueVibe App is owned and operated by JayWorld App LLC, a limited liability company organized under the laws of the State of New York, with its principal place of business in Newburgh, New York (Orange County). JayWorld App LLC is a wholly owned subsidiary of JayWorld Enterprise LLC, a Wisconsin limited liability company. All billing, subscription, and payment obligations described in this policy are those of JayWorld App LLC as the operating entity of VenueVibe App. 2. OVERVIEW VenueVibe App offers optional paid subscription plans that unlock premium features on the platform. This Subscription, Billing & Cancellation Policy governs all subscription purchases, renewals, billing practices, cancellations, refunds, and related matters. By purchasing a subscription, you agree to this policy, the Terms of Service, Privacy Policy, Safety & Reporting Policy, Community Guidelines, and any other policies provided by VenueVibe App. 3. SUBSCRIPTION PLANS & PRICING VenueVibe App currently offers the following subscription plans: • Monthly Plan: $15.00 USD per month • Annual Plan: $125.00 USD per year All subscription fees are billed in United States Dollars (USD) and are charged in advance at the start of each billing period. Promoter Discount Plans: VenueVibe App may offer promotional or discounted subscription rates through authorized promoters. Promoter-linked subscriptions are subject to the terms of the applicable promotion and this policy. 4. AUTOMATIC RENEWAL Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date. By purchasing a subscription, you authorize JayWorld App LLC to charge your payment method on file for the applicable subscription fee at the start of each renewal period without further action by you. You will not receive a separate renewal notice unless required by applicable law. It is your responsibility to manage and cancel your subscription before the renewal date if you do not wish to be charged for the next period. 5. FREE TRIAL VenueVibe App may offer free trial periods from time to time. If a free trial is offered: • You may be required to provide payment information to begin the trial. • At the end of the trial period, your subscription will automatically convert to a paid subscription and your payment method will be charged unless you cancel before the trial end. • VenueVibe App reserves the right to limit free trials to one per user or household. • Trial terms are subject to change at any time. 6. PAYMENT PROCESSING Payments are securely processed through Stripe or another authorized third-party payment processor. JayWorld App LLC does not store complete payment card information on its servers. By providing payment information, you represent that: • You are authorized to use the payment method provided. • Your payment information is accurate and complete. • You will update your payment information as necessary to keep it current. VenueVibe App is not responsible for errors, failures, or delays caused by your financial institution or payment processor. Stripe Volume Limits: Payment processing is subject to volume limits and risk controls imposed by Stripe. JayWorld App LLC is not liable for payment failures or processing delays resulting from Stripe's policies or platform decisions. 7. FAILED PAYMENTS If a payment method is declined, expired, or cannot be processed for any reason: • VenueVibe App may retry the charge one or more times over a reasonable period. • Access to premium subscription features may be suspended immediately or after a grace period at VenueVibe App's discretion. • VenueVibe App may notify you by email or in-app notification to update your payment information. • If payment is not successfully received within a reasonable time, your subscription may be canceled and access to premium features permanently revoked. JayWorld App LLC is not responsible for any loss of access, data, connections, or features resulting from a failed payment. 8. CANCELLATION You may cancel your subscription at any time through: • Your account settings within the VenueVibe App. • Customer support: support@venuevibeapp.com Upon cancellation: • Your subscription will remain active and accessible until the end of the current billing period. • Your subscription will not renew at the end of the current billing period. • You will not receive a prorated refund for any unused portion of the current billing period except where required by applicable law. • Access to premium features will terminate at the end of the paid billing period. No Refund Upon Termination for Cause: If your account is suspended or terminated by VenueVibe App for violation of the Terms of Service, Safety & Reporting Policy, Community Guidelines, or any other policy, you forfeit any unused portion of your subscription and are not entitled to a refund. 9. REFUND POLICY All subscription fees are non-refundable except where required by applicable law. VenueVibe App does not provide refunds for: • Unused days remaining in a billing period after cancellation. • Subscription fees already charged upon automatic renewal. • Partial months or partial years. • Downgraded or unused features. Refund requests may be considered on a case-by-case basis at JayWorld App LLC's sole discretion in cases of documented billing errors. To request a review, contact support@venuevibeapp.com within thirty (30) days of the charge in question. Chargebacks: Initiating a chargeback or payment dispute without first contacting VenueVibe App support may result in immediate account suspension or termination. VenueVibe App reserves the right to contest any chargeback and recover amounts owed. 10. PRICE CHANGES VenueVibe App reserves the right to modify subscription pricing at any time. For active subscribers, VenueVibe App will provide at least thirty (30) days' advance notice of any price increase by posting in the App, on the website, or by email. Continued use of a paid subscription after the effective date of a price change constitutes your acceptance of the updated pricing. If you do not agree to the updated pricing, you must cancel your subscription before the price change takes effect. 11. TAXES Subscription fees are exclusive of all applicable taxes, levies, or duties imposed by taxing authorities. You are responsible for paying all applicable taxes associated with your subscription purchase. Where required by law, JayWorld App LLC may collect and remit applicable sales tax, VAT, or similar taxes on subscription fees. 12. PROMOTER COMMISSION VenueVibe App operates an authorized promoter program in which independent promoters may earn commissions based on subscriber referrals. Promoter commissions are calculated based on active, paying subscribers linked to a promoter code whose subscriptions have been active for at least forty (45) days. Commissions are paid at the rate of $5.00 USD per qualifying subscriber per month, subject to change. Promoters are independent contractors, not employees or agents of JayWorld App LLC. Promoter commission obligations are governed by a separate Promoter Agreement and are subject to IRS 1099 reporting requirements where applicable. VenueVibe App is not responsible for any promoter representations, promises, or agreements made outside of the official Promoter Agreement. 13. DISCLAIMER OF WARRANTIES VenueVibe App subscription services are provided on an "as-is" and "as-available" basis without warranty of any kind, express or implied. JayWorld App LLC disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. VenueVibe App does not warrant that subscription features will be uninterrupted, error-free, or free of defects. 14. LIMITATION OF LIABILITY To the fullest extent permitted by applicable law, JayWorld App LLC, its parent JayWorld Enterprise LLC, and their respective members, managers, officers, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your subscription, billing, cancellation, or use of VenueVibe App. In no event shall JayWorld App LLC's total liability to you for any subscription-related claim exceed the amount you paid for the subscription in the twelve (12) months preceding the claim. 15. INDEMNIFICATION You agree to defend, indemnify, and hold harmless JayWorld App LLC, JayWorld Enterprise LLC, and their respective members, managers, officers, employees, contractors, agents, successors, and assigns from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: • Your subscription purchase or use of paid features. • Any unauthorized use of your account or payment method. • Your violation of this policy or the Terms of Service. • Any chargeback, payment dispute, or fraudulent transaction initiated by you. 16. DISPUTE RESOLUTION AND ARBITRATION PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. Binding Arbitration: Except for claims that may be brought in small claims court, any dispute arising out of or relating to this policy, your subscription, billing, or use of VenueVibe App shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. Class Action Waiver: YOU AND VENUEVIBE APP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Arbitration Location: Arbitration shall take place in Orange County, New York, or remotely if agreed upon by the parties. Opt-Out: You may opt out of this arbitration agreement by sending written notice to JayWorld App LLC within thirty (30) days of first accepting these terms. 17. GOVERNING LAW AND JURISDICTION This Subscription, Billing & Cancellation Policy shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. To the extent any claim or dispute is not subject to arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts located in Orange County, New York. 18. POLICY UPDATES VenueVibe App may update this policy at any time. For material changes, VenueVibe App will provide at least seven (7) days' notice by posting in the App, on the website, or by email before changes take effect. Non-material changes may take effect immediately upon posting. Continued use of VenueVibe App or a paid subscription after the notice period expires constitutes acceptance of the updated policy. ACKNOWLEDGMENT & CONSENT Please read and check each item below before submitting: ☐ Subscription Plans: I understand the current subscription pricing ($15.00/month or $125.00/year) and that fees are billed in advance. ☐ Automatic Renewal: I understand that my subscription automatically renews at the end of each billing period unless I cancel before the renewal date. ☐ Payment Authorization: I authorize JayWorld App LLC to charge my payment method on file for subscription renewals without further notice. ☐ Cancellation Policy: I understand that I may cancel at any time and that my access continues until the end of the current billing period with no prorated refund. ☐ Non-Refundable Fees: I understand that all subscription fees are non-refundable except where required by applicable law. ☐ Price Changes: I understand that VenueVibe App may change pricing with advance notice and that continued use constitutes acceptance. ☐ Failed Payments: I understand that failed payments may result in suspension or termination of premium access. ☐ Termination for Cause: I understand that if my account is terminated for policy violations, I forfeit any unused subscription period with no refund. ☐ Disclaimer of Warranties: I understand that VenueVibe App is provided as-is without warranties of any kind. ☐ Limitation of Liability: I understand that JayWorld App LLC's liability is limited as described in this policy. ☐ Arbitration & Class Action Waiver: I understand and agree that disputes will be resolved by binding individual arbitration and that I waive the right to participate in a class action. ☐ Governing Law: I understand that this policy is governed by the laws of the State of New York, Orange County jurisdiction. ☐ Policy Updates: I understand that VenueVibe App may update this policy and that continued use constitutes acceptance. ☐ I Agree to the VenueVibe App Subscription, Billing & Cancellation Policy. By submitting this acknowledgment, I confirm that I have read, understood, and agreed to this Subscription, Billing & Cancellation Policy. I understand that my name, email address, date, and timestamp may be recorded for compliance and legal purposes.
